Terms of Service

These terms govern use of DIGI (“DIGI,” “we,” “us”). By creating a business account, or by saving a card to your wallet as a customer, you agree to them. If you’re signing up on behalf of a business, you’re agreeing on that business’s behalf and confirming you have the authority to do so.
What DIGI is
DIGI lets a business run a digital loyalty program: customers save a punch card to their Apple or Google Wallet, staff scan it to add stamps, and rewards get redeemed at the counter. These terms cover two kinds of people differently: businesses, which create an account and are billed for the service, and customers, who never create an account at all, their wallet pass is their identity on DIGI.
Accounts
Business accounts are currently set up by us directly rather than through open self-signup: you request access, we configure your account and plan, and you sign in from there. You’re responsible for keeping your password confidential and for activity that happens under your account. Tell us right away if you believe your account has been accessed without authorization.
Customers don’t register or hold a password. A customer’s card is tied to the wallet pass itself and the contact information (name, email, and/or phone) given when it was issued.
Ownership
DIGI, including its software, design, and branding, is owned by us and protected by intellectual property law. These terms don’t transfer any ownership of it to you. You keep ownership of your own business content, your business name, logo, brand colors, offer copy, and reward terms, that you upload or enter. By using DIGI you give us a license to store, display, and transmit that content as needed to operate the service (for example, embedding your logo and colors in a customer’s wallet pass).
Treat any non-public part of the platform, and any usage or performance information we share with you about your own account, as confidential. Don’t use it to build or assist a competing product.
Acceptable use
A business using DIGI agrees not to:
- Enter offer, reward, or business-profile content that is unlawful, fraudulent, or infringes someone else’s rights
- Use the platform to collect customer information for any purpose beyond running its own loyalty program
- Attempt to access another business’s account, customers, or data
- Interfere with the platform’s normal operation, including scanning or issuing passes outside the way the product is designed to be used
Fees and billing
Paid plans are currently arranged and billed directly and manually rather than through automated card payments on this site; see the Privacy Policy’s Payments section. A business can request a plan change or request cancellation from its dashboard at any time; a request takes effect once we process it, not automatically the moment it’s submitted.
Suspension and termination
We can suspend or terminate a business’s access to DIGI, at our discretion, for violating these terms, non-payment, or conduct that puts other users or the platform at risk. A business can cancel on its own from the dashboard at any time; canceling stops billing but keeps programs and customer history intact unless deletion is separately requested. Sections of these terms that by their nature should survive termination, including ownership, disclaimers, limitation of liability, and indemnification, continue to apply after your account ends.
Disclaimer of warranties
DIGI is provided “as is” and “as available,” without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We don’t warrant that the service will be uninterrupted, error-free, or that every wallet pass update will reach every device instantly, wallet delivery depends in part on Apple and Google’s own systems, which are outside our control.
Limitation of liability
To the fullest extent permitted by law, DIGI will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of the service, even if we’ve been advised of the possibility. Our total liability for any claim relating to DIGI is limited to the amount you paid us for the service in the three months before the claim arose, or $100 if you’re a customer who has paid us nothing directly. Some jurisdictions don’t allow these limitations, so parts of this section may not apply to you.
Indemnification
If you’re a business, you agree to defend and indemnify us against claims, losses, and legal fees arising from your business content (for example, an offer or reward description that infringes someone’s rights or violates the law), your violation of these terms, or your violation of any law in how you run your loyalty program.
Governing law and disputes
These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
Any dispute arising from these terms or your use of DIGI will be resolved by binding individual arbitration rather than in court, except that either side may bring an individual claim in small claims court if it qualifies. There is no right or authority for any dispute to be brought as a class, consolidated, or representative action, and you and DIGI each waive any right to a jury trial or to participate in a class action against the other.
Changes to these terms
If these terms change in a meaningful way, we’ll update the date at the top of this page. Continuing to use DIGI after a change means you accept the updated terms.
